Will work closely with the editorial, analyst, sales and marketing teams. Develop corporate practice intelligence reports tailored to a managing partner/executive level client base - reports which leverage company's extensive financial and legal data collections and incorporate current awareness, market trends, company research and thought leadership to provide actionable intelligence about corporate legal and deals/transactional trends. Report to the Director of Business Law Editorial. Join client meetings or attend, speak as a panelist at and/or moderate conferences or webinars as a subject matter expert. Provide written and oral thought leadership and in-depth legal analysis of timely topics in capital markets, M&A, corporate finance, securities and corporate governance. Research, identify and analyze existing and emerging market trends affecting law firm corporate practice, using both primary legal documents and data-driven platforms. Must have 6+ years of experience with capital markets, M&A, securities and corporate finance transactions. Business development experience strongly preferred. Should preferably be either a senior associate in corporate practice at a global law firm or financial institution seeking to apply skills outside of the law firm environment; a mid-level corporate associate from a global law firm with a background in finance or statistics and demonstrated experience doing data analysis; or a journalist with 12+ years of experience analyzing capital markets and M&A deals for a senior level, professional client base. The candidate will be responsible to lead intellectual property transactions, both during mergers and acquisitions, joint ventures, and during divestitures and significant licensing transactions. Responsibilities include managing and performing significant intellectual property due diligence during M&A transactions, providing lead counsel and advice regarding intellectual property risks and mitigation efforts during acquisition efforts, providing expertise, education and training across relevant legal disciplines and business for these inbound and outbound transactions. May supervise outside counsel and/or non-attorney staff. Lead management of intellectual property due diligence, analysis, structuring and negotiation of intellectual property terms during merger and acquisition and joint venture activity. Lead management of intellectual property issues on significant or complex IP licensing transactions and outbound divestitures, spin-offs and other sales of intellectual assets. Develop and formalize processes, templates and form agreements for special or complex IP transactions, and prepare education and other communication materials regarding those developments. Coordinate efforts of outside counsel on both inbound (merger and acquisition/joint venture) and outbound (licensing, sales and other divestitures) of intellectual property efforts. Experience in patent and IP litigation and related counseling preferred. Principal Attorney Editor
The candidate will author special reports and data-driven analyses of corporate legal practice areas including capital markets/securities, M&A and corporate governance. Will work closely with the editorial, analyst, sales and marketing teams. Develop corporate practice intelligence reports tailored to a managing partner/executive level client base - reports which leverage company's extensive financial and legal data collections and incorporate current awareness, market trends, company research and thought leadership to provide actionable intelligence about corporate legal and deals/transactional trends. Report to the Director of Business Law Editorial. Join client meetings or attend, speak as a panelist at and/or moderate conferences or webinars as a subject matter expert. Provide written and oral thought leadership and in-depth legal analysis of timely topics in capital markets, M&A, corporate finance, securities and corporate governance. Research, identify and analyze existing and emerging market trends affecting law firm corporate practice, using both primary legal documents and data-driven platforms. Write articles explaining the 'so what' of market trends data with sophistication yet using plain English. Collaborate with sales and marketing to identify key areas for growth in the corporate legal information services market, harnessing company's extensive data on capital markets and M&A transactions. Liaise with internal and external contributors, negotiating timelines as needed to meet deadlines. Edit text provided by colleagues and ensure a common voice in final reports. Work collaboratively and build relationships at all levels within a cross-organizational team. Research and write reports analyzing the impact of M&A, capital markets and corporate finance market trends. Present findings to clients and at conferences as a subject matter expert as needed. At the request of senior level customers, design analysis tailored to meet individual needs. Write a regular series of articles analyzing what's market in corporate transactional practice.

The candidate should have a J.D., MBA or graduate degree in finance or related field. Bachelor's degree in finance, business or journalism is strongly preferred. Must have 6+ years of experience with capital markets, M&A, securities and corporate finance transactions. Business development experience strongly preferred. Should preferably be either a senior associate in corporate practice at a global law firm or financial institution seeking to apply skills outside of the law firm environment; a mid-level corporate associate from a global law firm with a background in finance or statistics and demonstrated experience doing data analysis; or a journalist with 12+ years of experience analyzing capital markets and M&A deals for a senior level, professional client base. Should have deep understanding of deals/transactional law trends, best practices and business development needs for corporate lawyers. Must have a keen interest in writing, demonstrate excellent business acumen and experience drafting corporate transactions.

Senior Intellectual Property Transactions Counsel - Senior Manager
The candidate will be responsible to lead intellectual property transactions, both during mergers and acquisitions, joint ventures, and during divestitures and significant licensing transactions. Responsibilities include managing and performing significant intellectual property due diligence during M&A transactions, providing lead counsel and advice regarding intellectual property risks and mitigation efforts during acquisition efforts, providing expertise, education and training across relevant legal disciplines and business for these inbound and outbound transactions. May supervise outside counsel and/or non-attorney staff. Lead management of intellectual property due diligence, analysis, structuring and negotiation of intellectual property terms during merger and acquisition and joint venture activity. Lead management of intellectual property issues on significant or complex IP licensing transactions and outbound divestitures, spin-offs and other sales of intellectual assets. Develop and formalize processes, templates and form agreements for special or complex IP transactions, and prepare education and other communication materials regarding those developments. Coordinate efforts of outside counsel on both inbound (merger and acquisition/joint venture) and outbound (licensing, sales and other divestitures) of intellectual property efforts. Coordinate IP transactions issues with merger and acquisition internal counsel, corporate development and new business leads, and lead counsel for growth platforms and operating groups on relevant transactions, and with other IP professionals in the Legal IP group. Provide intellectual property transactions counseling to Legal group members across geographies and specialty groups. Anticipate needs, and conceive and develop specific knowledge capital deliverables (i.e. developing/reviewing processes, communications, etc.). Anticipate and manage multiple projects, expectations and concerns working closely with senior executives, and acquisition and divestiture targets, in a focused and responsive manner. Deliver timely, rapid, focused and relevant responses to internal client teams as well as fellow Legal group colleagues. Anticipate issues and obstacles that impact group and/or client success. Develop innovative solutions in alignment with business strategy. Reports to the Managing Director - Legal Services, Intellectual Property and Strategic Initiatives.

The candidate should have a Law degree preferably with an undergraduate degree or comparable education in computer technology, software or electrical engineering or other hard science. Must have 6+ years of experience practicing intellectual property/patent law (in-house corporate intellectual property/patent attorney or within a law firm) with 5+ years of experience in managing due diligence, license and agreement structuring, negotiation and other IP-related issues in merger, acquisition, joint venture and licensing activities. Experience in patent and IP litigation and related counseling preferred. In-depth knowledge of intellectual property and information technology law, with extensive knowledge and experience of software licensing (including open source software), standards-essential patents, and FRAND terms and M&A deals desired. Travel may be required.

The candidate will report directly to the sub-area leader of the ITqS practice. Will work with the National ITqS Leader, others in the National ITqS group and local office teams in the design and execution of complex ITqS projects with significant clients of the firm. Projects will include assisting clients with US international information reporting, computing US tax attributes related to international operations, modeling the impact of proposed US international tax legislation, and advising clients on improvements to their tax provision process. Assist in the development of the ITqS practice including the development and implementation of quantitative tools and processes. Provide thought leadership by drafting Tax Alerts and articles on ITqS technical developments for internal and external publication and teaching internal training courses on international taxation.

The candidate should have a Bachelor's degree in accounting and 3 years of related work experience OR a Graduate degree in law or tax and 2 years of related work experience. Must have 3+ years of relevant tax experience with a Big 4 public accounting firm or equivalent experience in business or industry. CPA certification is required. Experience in modeling quantitative attributes around foreign tax credits is needed.

The candidate will be responsible for legal issues affecting the global corporate trust division of the bank. Will review and negotiate municipal financing transaction documents and other documents related to transactions. Counsel the business line on issues related to the governing documents, administer municipal finance accounts, and write supporting trustee opinions for closing. Will also interpret SEC, OCC, MSRB and other relevant laws and regulations; provide advice on various account level and bondholder issues; and advise management concerning risk and litigation matters.

The candidate must have 7+ years of experience in municipal finance transactions including experience representing corporate trustees. Additional experience in structured finance, corporate finance and related areas of law plus. An understanding of the legal and regulatory issues applicable to fiduciaries and agents in the context of corporate trusteeships is desired. Background in representing corporate fiduciary and/or financial institutions is helpful.
